REGULATIONS

1. Members

1.1 Members are Responsible for their Clients.  Member is responsible for its clients (its advertisers and its publishers) adhering to the rules in Sections 2 and 3, below, respectively.
1.2 Privacy.  Member shall support AdECN's commitment to protect the privacy of the online community. Member represents that it has a privacy policy that is in compliance with all FTC guidelines, rules and regulations with respect to online privacy.
1.3 Disputes Between Members.  Member will communicate with AdECN regarding any dispute it has with any other member of the Exchange concerning transactions on the Exchange.  AdECN, in its sole and absolute discretion, will determine the acceptability of any entity as a member of the Exchange.

2. Publishers

2.1 Approved Sites Only.  Publisher will only place the AdECN advertising program code, which retrieves and displays ads from the AdECN Exchange, on URLs specifically approved by Member. Publisher agrees to notify Member in writing immediately of any material change in Publisher's websites. 
2.2 No Illegal or Fraudulent Content.  Publisher will not place the AdECN program code on any website that: i) engages in, promotes, or facilitates illegal or legally questionable activities, or content which includes but is not limited to the following: content promoting illegal activity such as mail fraud, spam, or other information not permitted under applicable law, or, ii) is under construction, or; iii) is hosted by a free hosting service. Publishers will allow Member and/or AdECN to use tracking tools to monitor content and activity. Furthermore, Publisher will not place the AdECN program code on any web page that is blank or has no meaningful content, or is covered by another page.
2.3 No Fraudulent Activity.  Publisher will not engage in, or allow any other party to engage in, any fraudulent acts, including but not limited to: i) electronically or mechanically generating clicks on advertisements; ii) using unsolicited email or inappropriate newsgroup postings to promote its website; iii) auto-spawn browsers; iv) automatically redirect users; v) publish blind text links; vi) publish misleading links, or; vii) alter cookies or urls or code in any way that will intentionally or negligently alter click or conversion counts.  
2.4 No Modifications.  Publisher will not modify any advertisement or the AdECN ad code in any way.
2.5 Worm and Virus Free.  Publisher represents and warrants that its website is free of any "worm," "virus," or other device that could impair or injure any person or entity; the site does not use computer programs or tools that (i) alter a computer user's browser or other settings or use an ActiveX control or similar device to download ad supporting software without providing fair notice to and obtaining affirmative consent; (ii) prevent a computer user's reasonable efforts to block the installation of or disable or remove unwanted software; (iii) remove or disable any security, anti-spyware or anti-virus technology on a user's computer; (iv) send email through a user's computer without prior authorization; (v) open multiple, sequential, stand-alone advertisements in the consumer's Internet browser which cannot be closed without closing the Internet browser or shutting down the computer or (vi) other similar activities that are prohibited by applicable law or industry best practices.
2.6 Accurate Categorization.  Publishers must accurately categorize the subject matter of any new site and spot using the standard AdECN channels and rating systems.
2.7 Default Ads.  Publishers will not be paid for default advertisements, which are advertisements specified by the Publisher or Member when a paying advertisement is not available.

3. Advertisers

3.1 Compliant with All Laws.  The advertisement does not violate any law or regulation governing false or deceptive advertising, or other law, and it does not contain any misrepresentation, or content that is defamatory or violates any right of privacy.
3.2 Worm, Virus, and Spyware Free.  The advertiser represents and warrants that its advertisements are free of any "worm," "virus," "spyware," or other device that could impair or injure any person or entity; the advertisement does not use computer programs or tools that (i) alter a computer user's browser or other settings or use an ActiveX control or similar device to download ad supporting software without providing fair notice to and obtaining affirmative consent; (ii) prevent a computer user's reasonable efforts to block the installation of or disable or remove unwanted software; (iii) remove or disable any security, anti-spyware or anti-virus technology on a user's computer; (iv) send email through a user's computer without prior authorization; (v) open multiple, sequential, stand-alone advertisements in the consumer's Internet browser which cannot be closed without closing the Internet browser or shutting down the computer or (vi) other similar activities that are prohibited by applicable law or industry best practices.
3.3 Published Specifications.  Advertisements must adhere to the published AdECN advertising specifications, as updated from time to time.
3.4 Accurate Categorization.  Advertisers must accurately categorize the format, subject matter, animation level, and other factors as defined in the AdECN advertiser interface, as updated from time to time.
